1. Acceptance of Terms
By creating an account or using ClientFilesHub, you agree to these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.
2. Description of Service
ClientFilesHub is a document intake service that allows organizations to:
- Create intake requests for collecting documents from clients
- Send secure upload links to clients
- Process and organize uploaded documents using AI
- Track document submission status
- Collaborate with team members
3. Account Registration
To use the Service, you must:
- Be at least 18 years of age or have authority to bind your organization
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
You are responsible for all activities that occur under your account and your organization.
4. Organizations and Teams
When creating or joining an organization:
- Organization administrators can invite and manage team members
- All team members have access to the organization's intake requests and documents
- You are responsible for managing access within your organization
5. Acceptable Use
You agree to use the Service only for lawful purposes. You may not:
- Use the Service for any illegal or fraudulent purpose
- Collect documents you do not have proper authorization to request
- Attempt to gain unauthorized access to the Service or other accounts
- Interfere with or disrupt the Service's operation
- Upload malicious content, viruses, or harmful code
- Use the Service to infringe on others' intellectual property rights
6. Client Upload Links
When you share upload links with clients:
- You are responsible for sharing links only with intended recipients
- Clients can upload documents without creating an account
- Documents uploaded via links are associated with your organization
- Links can be revoked or expired at your discretion
7. Content and Data
You retain ownership of the documents uploaded to ClientFilesHub. By using the Service, you grant us a limited license to:
- Store and process documents to provide the Service
- Use AI to extract text and metadata
- Display documents to authorized organization members
We will not share your documents with third parties except as necessary to provide the Service or as required by law.
8. Subscription and Payment
Some features require a paid subscription. By subscribing:
- You authorize us to charge your payment method on a recurring basis
- Subscription fees are billed in advance and are non-refundable
- You may cancel your subscription at any time
- We reserve the right to change pricing with 30 days notice
9. Service Availability
We strive to provide reliable service but do not guarantee uninterrupted access. We may:
- Temporarily suspend the Service for maintenance
- Modify or discontinue features with reasonable notice
- Limit usage based on your subscription plan
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount you paid us in the past 12 months
- We are not responsible for the accuracy of AI-extracted information
11. Indemnification
You agree to indemnify and hold harmless ClientFilesHub from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
12. Termination
We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination:
- Your access to the Service will cease
- Your data will be deleted within 30 days
- You will not be entitled to any refund of prepaid fees
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the United States.
